Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are a binding agreement between you ("you" or "Customer") and TaxQL, Inc., a Delaware corporation ("TaxQL," "we," "us," "our"). By creating an account, accessing the Service, or making an API call, you agree to these Terms. If you don't agree, don't use the Service.

If you're agreeing to these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity. References to "you" then refer to that entity.

3. Account Registration

To use the Service, you must register for an Account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for safeguarding your API key and any credentials associated with your Account.

You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to register. The Service is intended for business use and is not directed at children.

You are responsible for all activity that occurs under your Account, including activity by employees, contractors, or anyone else you provide your API key to. Notify us immediately at security@taxql.com if you believe your API key has been compromised.

4. License and Acceptable Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your Subscription term.

Using Output Data within your own application, integrated as part of your broader product, is permitted and encouraged. Reselling raw rate data as a standalone tax-data service is not.

5. Output Data Disclaimer

This section is critical. Please read carefully.

TaxQL provides sales tax rate information derived from publicly available state Department of Revenue publications, Census Bureau geographic data, and other authoritative sources. We maintain high accuracy standards through continuous validation against those source files. TaxQL is a data service, not a tax advisor, accounting firm, or compliance platform.

You are solely responsible for:

We make no warranty that Output Data is suitable for any particular purpose, including filing tax returns. Tax rates change frequently, jurisdictional ambiguity exists at every level of government, and Input Data quality affects resolution accuracy. Output Data should be considered a starting point for your tax compliance work, not a substitute for professional advice.

Our liability for any error, omission, or inaccuracy in Output Data is limited to refunding the fees you paid for the specific API calls returning the disputed data, with the overall cap described in Section 11 (Limitation of Liability). If you can demonstrate a specific lookup returned an incorrect rate (compared against the relevant state Department of Revenue publication), we will refund the cost of that lookup and investigate within one business day, per our SLA.

6. Subscription, Billing, and Trial

Pricing for paid tiers is published at /pricing. By selecting a Subscription, you agree to pay the fees for that tier. Fees are charged in advance, monthly or annually.

Billing is processed by Paddle.com, Inc. as merchant of record. Paddle handles payment processing, sales tax compliance on your subscription fees, and refunds. Refund requests are handled per Paddle's standard refund policy. See our Refund & cancellation policy for how to request a refund. TaxQL receives only summary transaction data; we do not access your payment method directly.

Trial. New Customers may use a Trial for 14 days with up to 1,000 API lookups. The Trial is offered at no cost and requires no payment method. If you do not select a paid Subscription before Trial expiry, your Account becomes read-only and the API stops responding to new lookups; your Account is retained for 30 days, during which you can upgrade without re-registering.

Overage on Launch tier. The Launch Subscription includes 2,500 API lookups per month at the base fee. Additional usage is billed at $99 per 2,500-lookup block, automatically, at the end of the billing period.

Annual prepayment. Subscriptions paid annually receive a 15% discount versus the equivalent monthly rate. Annual Subscriptions auto-renew at the end of each term unless you cancel before the renewal date.

Fee changes. We may change our Subscription fees with 30 days' notice. Changes take effect at your next billing cycle.

7. Cancellation and Termination

You may cancel your Subscription at any time through the customer portal at app.taxql.com. Cancellation takes effect at the end of your current billing period. You retain access through that period and are not charged again.

We may suspend or terminate your Account if you materially breach these Terms, if your payment fails after reasonable notice, or if we receive a credible legal demand requiring termination. We will notify you by email when we suspend or terminate, except in cases of urgent security or legal concern.

Either party may terminate an Enterprise Subscription per the terms of the relevant Order Form.

Upon termination, your right to access the Service ends. We retain your Account data per Section 6 of our Privacy Policy.

8. Intellectual Property

We own the Service, including the API, software, documentation, and brand. You own your Input Data and your use of Output Data within your own applications.

We may use anonymized, aggregated data about API usage patterns (call volumes, error rates, response shapes) to improve the Service. We will not identify your business in any external publication of such data without your written consent.

9. Confidentiality

"Confidential Information" means non-public information either party shares with the other in connection with these Terms, including business and financial information. Both parties agree to use Confidential Information only to perform under these Terms and to protect it with the same care as their own similar confidential information.

Confidential Information does not include information that is publicly available, was already known by the receiving party, is independently developed, or is rightfully received from a third party.

10. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, that Output Data will be error-free, or that defects will be corrected. Specific uptime and accuracy commitments are described in our SLA.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TAXQL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

These limitations apply even if a remedy fails its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold us harmless from any third-party claim arising from your violation of these Terms, your use of the Service in violation of applicable law, or your Input Data infringing the rights of a third party. We agree to defend, indemnify, and hold you harmless from any third-party claim that the Service, as provided by us and used by you in accordance with these Terms, infringes that third party's intellectual property rights.

The indemnifying party's obligations under this section are conditioned on the indemnified party promptly notifying the indemnifying party of the claim, giving the indemnifying party sole control of the defense and settlement, and reasonably cooperating in the defense.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

14. Dispute Resolution

Informal resolution first. Before filing any formal claim, you agree to contact us at legal@taxql.com to attempt to resolve the dispute informally for at least 60 days.

Arbitration. If informal resolution fails, any dispute arising from these Terms will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with arbitration to take place in Wilmington, Delaware, in English. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. You agree to bring any claim against us only in your individual capacity and not as a plaintiff or class member in any purported class, representative, or consolidated proceeding.

Opt-out. You may opt out of arbitration within 30 days of accepting these Terms by emailing legal@taxql.com with the subject "Arbitration Opt-Out" and your Account email. If you opt out, disputes will be resolved in the state or federal courts of Wilmington, Delaware, and we both consent to personal jurisdiction there.

15. Service Level Agreement

Service Level commitments — including uptime targets, support response times, and service credit mechanics — are described in our SLA, which is incorporated by reference into these Terms.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be notified to active customers by email at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you don't accept a material change, you may terminate your Subscription before the effective date; any associated refund is handled per Paddle's standard refund policy.

17. General

Entire agreement. These Terms, the SLA, the Privacy Policy, and any Order Form between us together constitute the entire agreement between you and us regarding the Service, and supersede any prior agreements.

No assignment by Customer. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all our assets.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.

Notices. We may send notices to your Account email. You may send notices to legal@taxql.com.
